1. Acceptance of Terms

By accessing or using VaultCore OS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

VaultCore OS provides a cloud-based core banking platform designed for Microfinance Institutions (MFIs) and Microfinance Banks (MFBs) in Africa. The Service includes but is not limited to: teller operations, loan management, savings products, regulatory reporting, and analytics.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding the password and for all activities that occur under your account.

4. Subscription and Payments

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis, depending on the type of subscription plan you select.

• Subscription fees are non-refundable except as required by law
• We reserve the right to modify pricing with 30 days notice
• Failed payment may result in suspension of services
• You are responsible for any applicable taxes

5. Data Protection and Security

We implement industry-standard security measures to protect your data. However, you acknowledge that no method of electronic storage is 100% secure. You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your computer or device.

6. Acceptable Use

You agree not to use the Service:

• For any unlawful purpose or in violation of any laws
• To transmit harmful code or interfere with the Service
• To attempt unauthorized access to any systems
• To impersonate any person or entity
• In any way that could damage or overburden our infrastructure

7. Intellectual Property

The Service and its original content, features, and functionality are owned by VaultCore OS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, or distribute our content without express written permission.

8. Limitation of Liability

In no event shall VaultCore OS, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

9. Service Level Agreement

We commit to maintaining 99.9% uptime for the Service. Scheduled maintenance will be communicated at least 48 hours in advance. In case of unscheduled downtime exceeding our SLA commitments, service credits may be applied to your account as outlined in your subscription agreement.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data within 30 days of termination.

11. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Lagos State, Nigeria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
